1. Acceptance of Terms and Conditions
These Terms of Service ("Terms," "Agreement," or "ToS") constitute a legally binding agreement between you ("Client," "you," or "your") and JM Ventures Group LLC, operating as Olide Digital ("Company," "we," "us," "our," or "Olide Digital"). By accessing our website (https://olidedigital.com), requesting our services, or engaging us to provide digital marketing or web design services, you acknowledge that you have read, understood, and agree to be bound by all terms, conditions, and policies set forth in this agreement. If you do not agree to these Terms, you must not access our website or use our services. Your continued use of our website and services constitutes your acceptance of these Terms.
2. Service Description and Scope
Olide Digital provides digital marketing and web design services, including but not limited to:
- Website landing page design and development
- Google Business Profile optimization and management
- Local search engine optimization (SEO)
- Website content strategy and copywriting
- Performance tracking and analytics reporting
The specific services you will receive are detailed in your signed Service Agreement or Statement of Work (SOW). Olide Digital agrees to provide services in a professional and competent manner consistent with industry standards. However, we make no guarantees regarding specific results, rankings, traffic, or revenue improvements. Search engine rankings, website traffic, and business results depend on numerous factors beyond Olide Digital's control, including search engine algorithms, market conditions, competition, and client-provided content.
3. Service Limitations and Disclaimers
- No Guarantee of Results: Olide Digital does not guarantee specific search engine rankings, website traffic volume, leads generated, or revenue increases. We provide strategic guidance and implementation, but ultimate results depend on numerous variables including search engine algorithms, client market factors, and competitive landscapes
- Search Engine Changes: Search engines (Google, Bing, etc.) frequently update their algorithms and policies. Changes to search engine algorithms may impact website rankings and visibility despite our best efforts
- Third-Party Platforms: Services involving Google Business Profile, Google Search Console, or other third-party platforms are subject to those platforms' terms of service, policies, and changes. We are not responsible for platform changes or suspensions outside our control
- Content Responsibility: You retain responsibility for all content provided to us, including accuracy, legality, and compliance with third-party rights. We are not responsible for legal issues arising from client-provided content
- Timeline Variability: While we strive to meet agreed-upon timelines, delivery dates are estimates. Delays may occur due to factors beyond our control, client-provided information delays, or third-party platform issues
4. Client Responsibilities and Obligations
To ensure successful delivery of services, you agree to:
- Provide Timely Information: Supply all necessary business information, content, images, and credentials within agreed timeframes
- Grant Access: Provide necessary account access (Google Business Profile, website hosting, email, etc.) and maintain secure credentials
- Timely Approval: Review and approve deliverables promptly to maintain project timeline
- Legal Compliance: Ensure all client-provided content complies with applicable laws and does not infringe on third-party intellectual property rights
- Accurate Information: Provide accurate business information, including business name, address, phone number, hours, and services offered
- Payment: Pay all invoices within the agreed payment terms
- Communication: Maintain regular communication and notify us of any changes affecting service delivery
5. Pricing, Payments, and Billing
- Pricing: Service pricing is detailed in your signed Service Agreement or proposal. Pricing is valid for 30 days from proposal date unless otherwise specified
- Payment Terms: Payment is due upon receipt of invoice unless alternative terms are documented in your Service Agreement. Standard payment terms are Net 15 days
- Late Payments: Payments not received by the due date will be considered late. Late payments may result in service suspension until payment is received. Unpaid invoices may accrue interest at 1.5% per month or the maximum rate allowed by law
- Service Suspension: We reserve the right to suspend services and access to deliverables if payment is 15 or more days late
- Price Changes: We reserve the right to adjust prices for ongoing services with 30 days' written notice
- Refund Policy: Once services have been rendered or deliverables created, they are non-refundable. If you wish to cancel services, remaining prepaid amounts will be credited at a pro-rata rate based on work completed
- Expenses: Any out-of-pocket expenses (premium services, tools, stock images, third-party software) will be billed separately or included in the project scope as agreed
6. Intellectual Property Rights
- Our Work Product: All original designs, strategies, code, content, and materials created by Olide Digital ("Work Product") remain our intellectual property unless otherwise agreed in writing
- Limited License: Upon receipt of full payment, we grant you a perpetual, non-exclusive license to use the Work Product for your business purposes
- Your Content: You retain all intellectual property rights to content and information you provide to us. You grant us a non-exclusive license to use your content as necessary to provide services
- Third-Party Materials: Work Product may contain third-party materials licensed under applicable terms. Your use must comply with those terms
- Attribution: You agree to maintain any attribution notices or credit required by third-party materials or our agreements
- Modifications: We retain the right to modify Work Product for technical improvements, security updates, or compatibility
7. Confidentiality and Non-Disclosure
- Your Information: We agree to keep your business information, financial data, and any confidential information you provide strictly confidential
- Our Information: You agree to keep our processes, strategies, pricing, and proprietary methodologies confidential
- Exceptions: Confidentiality obligations do not apply to information that is publicly available, independently developed, or required to be disclosed by law
- Public References: We may list you as a client or reference your business name in our portfolio unless you request otherwise in writing
8. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL OLIDE DIGITAL BE LIABLE FOR:
- Indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost data, or business interruption
- Any damages arising from service interruptions, website downtime, or platform issues
- Changes to search engine algorithms, ranking drops, or loss of visibility not caused by our negligence
- Damages arising from your use of third-party platforms or services
- Client negligence, failure to provide information, or failure to approve deliverables timely
TOTAL LIABILITY CAP: Our total liability under this agreement shall not exceed the total fees paid by you in the 12 months preceding the claim. This limitation applies to all claims regardless of legal theory.
9. Warranties and Disclaimers
- As-Is Services: Services are provided on an "as-is" basis. We make no warranties regarding specific results, performance, or fitness for a particular purpose
- No Guarantee of Rankings: We do not guarantee specific search engine rankings, organic traffic volume, or conversion rates
- Third-Party Platforms: We disclaim responsibility for changes made by Google, social media platforms, or other third-party services. Platform policies, algorithms, and features are subject to change without our control
- Website Availability: While we strive to maintain 99.5% uptime, we do not guarantee uninterrupted website availability
- User Content: We are not responsible for accuracy, legality, or infringement issues related to user-provided content or information
10. Service Termination
- Termination by Client: You may terminate services with 30 days' written notice. Termination fees may apply as specified in your Service Agreement
- Termination by Olide Digital: We may terminate services immediately for: (a) non-payment of invoices more than 30 days late, (b) violation of these Terms, or (c) if you provide false or misleading information
- Upon Termination: You must pay all outstanding invoices. We will provide you with access to your data and deliverables. Ongoing services will cease
- Survival: Sections 6 (Intellectual Property), 8 (Limitation of Liability), 9 (Warranties), and this Section survive termination
11. Prohibited Activities
You agree not to use our services for:
- Any illegal or unethical purposes
- Creating misleading, false, or fraudulent content
- Violating search engine guidelines or engaging in black-hat SEO tactics
- Infringement of third-party intellectual property rights
- Harassment, discrimination, or illegal activity
- Any purpose that could damage Olide Digital's reputation or legal standing
If we discover prohibited activities, we reserve the right to terminate services immediately without refund.
12. Changes to Website and Services
Olide Digital reserves the right to:
- Modify website content, features, or functionality at any time without notice
- Update these Terms and conditions; continued use constitutes acceptance
- Change service offerings or pricing with 30 days' notice
- Discontinue services with 60 days' notice and refund of prepaid amounts
13. Website Use Terms
- License: We grant you a limited, non-exclusive license to view and use our website for lawful purposes only
- Restrictions: You may not reproduce, distribute, transmit, modify, or create derivative works from our website without permission
- No Scraping: Automated data collection, web scraping, or bot activity is prohibited
- Third-Party Links: Our website may contain links to third-party sites. We are not responsible for third-party content or practices
- Website Availability: We do not guarantee uninterrupted website availability and are not liable for website outages
14. Indemnification
You agree to indemnify and hold harmless Olide Digital from any claims, damages, losses, or expenses (including attorney fees) arising from:
- Your violation of these Terms
- Your content or information that infringes third-party rights
- Your illegal activity or violation of law
- Your use of our services in violation of search engine guidelines
15. Dispute Resolution and Governing Law
- Governing Law: These Terms are governed by and construed in accordance with the laws of the District of Columbia, without regard to its conflict of law principles
- Jurisdiction: You irrevocably submit to the exclusive jurisdiction of the state and federal courts located in Washington, D.C.
- Dispute Resolution: Before initiating legal action, the parties agree to attempt informal resolution for 30 days. If unresolved, either party may pursue legal action in appropriate courts
- Severability: If any provision of these Terms is found invalid, the remaining provisions remain in effect
16. Entire Agreement
These Terms, along with your signed Service Agreement and Privacy Policy, constitute the entire agreement between you and Olide Digital regarding our services. Any previous agreements, representations, or understandings are superseded. These Terms may only be modified in writing signed by both parties.
